These Terms & Conditions (“Terms”) govern your access to and use of the LYRN platform, website, community features, directories, membership services, educational networking opportunities, and related services (collectively, the “Platform”), operated by CN Venture Group LLC ("LYRN," "we," "us," or "our").

By accessing, browsing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Purpose of the Platform

LYRN is a professional networking, educational connection, and community platform designed to connect beauty, wellness, aesthetics, and related industry professionals, students, trainees, apprentices, and mentorship seekers.

LYRN provides visibility, networking opportunities, educational community engagement, and member connection tools.

LYRN does not provide medical, legal, educational licensure, certification, employment placement, or professional supervision services.

LYRN serves solely as a connection and community platform.

2. Eligibility

To use the Platform, you must be at least 18 years old.

The Platform is intended for:

-Licensed professionals

-Students

-Apprentices

-Trainees

-Aspiring professionals

-Industry educators

-Mentors

-Service providers

-Business owners within relevant industries

By using LYRN, you represent that:

-the information you provide is accurate

-you will maintain current account information

-you are legally permitted to participate in any professional activities you pursue

-you will operate within your lawful scope of practice and applicable licensing requirements

-Users are solely responsible for complying with all applicable laws, regulations, certifications, and licensing requirements.

3. Account Registration & Security

Certain Platform features require account registration.

You are responsible for:

-maintaining confidentiality of your login credentials

-all activity occurring under your account

-ensuring account information remains accurate and current

You may not:

-share accounts

-impersonate another individual or business

-create misleading profiles

-provide false professional credentials

-allow unauthorized access to your account

LYRN reserves the right to suspend or terminate accounts for suspected fraud, misuse, or violations of these Terms.

4. Memberships, Billing & Subscription Terms

Certain Platform features require paid membership access.

Membership pricing, included benefits, and access levels will be disclosed at enrollment.

By purchasing a membership, you authorize recurring billing according to the selected subscription plan.

Memberships automatically renew unless canceled prior to the next billing cycle.

If you cancel your membership:

cancellation prevents future billing

- access remains active through the end of the paid billing period

-no partial billing adjustments will be issued

LYRN reserves the right to:

-modify pricing

-adjust membership offerings

-change included benefits

-update access levels

-discontinue plans

Reasonable notice will be provided when applicable.

5. No Refund Policy

All membership fees, subscription charges, promotional purchases, and digital access fees are non-refundable unless otherwise required by law.

Failure to use your membership, dissatisfaction with networking outcomes, inactivity, inability to secure mentorship, or unused access does not create eligibility for refund.

6. Payment Failures

If a payment fails, is declined, reversed, disputed, or otherwise unsuccessful, LYRN may:

-suspend account access

-restrict member features

-revoke benefits

-terminate membership access

-Access may be restored once billing issues are resolved.

7. Independent Relationships & Off-Platform Interactions

LYRN facilitates introductions and networking opportunities between independent users.

LYRN does not:

-employ mentors

-employ educators

-supervise training relationships

-control off-platform communications

-process mentor-to-learner payments

-negotiate pricing between users

-guarantee outcomes

-guarantee opportunities

-oversee independent service arrangements

Any agreements, mentorships, collaborations, transactions, educational arrangements, or business relationships formed between users are solely between those parties.

Users assume all responsibility for independently evaluating risks before participating in any off-platform interaction.

8. No Credential Verification

LYRN does not verify, certify, endorse, supervise, or guarantee:

-licensure

-certifications

-insurance status

-qualifications

-competency

-legal authority to practice

-educational legitimacy

-business practices

-safety standards

Users are solely responsible for independently verifying the credentials, qualifications, and legitimacy of any individual or business they interact with through the Platform.

9. Scope of Practice Responsibility

Users are solely responsible for ensuring they act within:

-their professional scope

-licensure restrictions

-educational limitations

-applicable state laws

-regulatory requirements

LYRN assumes no responsibility for unlawful, unauthorized, or improper activities conducted by users.

10. Community Conduct

Use of the Platform is also subject to LYRN’s Community Guidelines & Participation Policy.

Violations may result in:

-warnings

-content removal

-restricted access

-account suspension

-permanent termination

11. User Content & Intellectual Property

Users retain ownership of content they voluntarily submit, post, upload, or share.

This includes:

-profiles

-testimonials

-educational content

-comments

-directory listings

-messages

-media

-promotional materials

By submitting content, you grant LYRN a non-exclusive, royalty-free license to use, display, reproduce, promote, distribute, and reference such content for:

-Platform functionality

-marketing

-promotional campaigns

-educational purposes

-business operations

-Users may not:

-scrape Platform content

-copy educator listings

-reproduce directories

-redistribute member data

-commercially exploit Platform materials without permission

12. Testimonials & Promotional Content

If you voluntarily submit testimonials, feedback, reviews, comments, or success stories, LYRN may use them for promotional, marketing, educational, or business purposes unless prohibited by law.

13. Third-Party Services

The Platform may integrate or link to third-party tools, processors, communication systems, external websites, or independent service providers.

LYRN is not responsible for third-party:

-performance

-availability

-policies

-billing

-conduct

-data practices

Use of third-party services is at your own discretion.

14. Referral & Promotional Programs

From time to time, LYRN may offer referral, rewards, or promotional incentive programs.

Participation in such programs may be governed by separate program-specific terms, conditions, eligibility requirements, and payout rules.

15. Platform Availability & Changes

LYRN may modify, suspend, restrict, discontinue, or update any part of the Platform at any time.

This includes:

-benefits

-functionality

-LYRN does not guarantee uninterrupted availability.

16. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

LYRN makes no guarantees regarding:

uninterrupted service

-mentorship success

-networking outcomes

-professional opportunities

-business growth

-educational quality

-accuracy of member information

-suitability of users

-legal compliance by members

Use of the Platform is at your own risk.

17. Limitation of Liability

To the fullest extent permitted by law, LYRN, CN Venture Group LLC, its owners, affiliates, officers, contractors, employees, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or business-related damages arising from use of the Platform.

This includes:

-disputes between users

-mentorship dissatisfaction

-business losses

-lost income

-reputational harm

-injury

-professional misconduct

-licensing issues

-off-platform agreements

-payment disputes between users

18. Indemnification

You agree to defend, indemnify, and hold harmless LYRN and CN Venture Group LLC from claims, damages, liabilities, losses, expenses, or legal fees arising from:

-your use of the Platform

-your conduct

-professional activities

-violations of law

-disputes with other users

-breach of these Terms

19. Governing Law & Disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles.

If a dispute arises, users agree to first attempt to resolve the matter directly with LYRN in good faith before pursuing formal legal action.

Any unresolved disputes shall be handled in courts located in Connecticut.

20. Changes to These Terms

LYRN may update these Terms periodically.

Updated versions become effective upon posting.

Continued use of the Platform after updates constitutes acceptance of revised Terms.
