These Referral Program Terms (“Referral Terms”) govern participation in the LYRN Referral Program (“Program”), operated by CN Venture Group LLC ("LYRN," "we," "us," or "our").

Participation in the Referral Program constitutes acceptance of these Referral Terms, as well as LYRN’s general Terms & Conditions and applicable Platform policies.

1. Program Purpose

The LYRN Referral Program is designed to reward eligible members for introducing new paying members to the LYRN platform.

This Program is intended as a promotional incentive and does not create employment, partnership, agency, franchise, or business ownership rights.

2. Eligibility

Participation in the Referral Program is limited to active LYRN members in good standing.

To remain eligible, participants must:

-maintain an active paid LYRN membership

-remain in compliance with all Platform policies

-maintain accurate payout/contact information

-not be suspended, restricted, or terminated from the Platform

LYRN reserves the right to approve, deny, suspend, or revoke participation at its sole discretion.

3. Qualifying Referrals

A qualifying referral is defined as:

A new member who:

-joins LYRN through the participant’s assigned referral link, code, or approved referral method

-successfully completes a paid membership enrollment

-remains an active paying member in good standing

Referrals are only valid for new members.

A referred individual must not:

-already have an LYRN account

-have previously held a paid membership

-be a duplicate account

-be associated with fraudulent or manipulated activity

LYRN retains sole authority to determine referral validity.

4. Referral Compensation

Eligible participants may earn:

$2.00 USD per qualifying active paid referred member, per month

Compensation applies only while:

-the referred member remains actively enrolled in a paid membership

-the participant remains an active eligible member

-the referral remains valid under these terms

No earnings are guaranteed.

Referral earnings are promotional incentives only.

5. 12-Month Referral Limit

Referral compensation for each qualifying referred member is limited to a maximum of:

12 consecutive months from the initial qualifying referral enrollment

Once the 12-month referral earning period ends:

-no further compensation will accrue for that referred member

-referral rights expire for that individual

this limitation applies regardless of how long the referred member remains on the Platform.

6. Membership Cancellation, Lapse, or Rejoin

Referral earnings apply only during the referred member’s original continuous active paid membership period.

If a referred member:

-cancels

-lapses

-fails payment

-disputes charges

-becomes inactive

-has membership terminated

then referral earnings immediately stop.

If that same individual later rejoins LYRN:

-referral eligibility does not automatically restart

-no new referral ownership is created unless LYRN expressly determines otherwise

Referral relationships are not lifetime ownership claims.

7. Single-Tier Program Only

The LYRN Referral Program is strictly a single-tier referral program.

Participants may earn compensation only for their direct qualifying referrals.

Example:

Jenny refers Susan → Jenny may earn

Susan refers Ashley → Susan may earn

Jenny earns nothing from Ashley

No downstream, layered, hierarchical, or indirect commissions exist.

8. Not Multi-Level Marketing

The Referral Program is not a multi-level marketing (MLM), network marketing, pyramid, or downline compensation program.

Compensation is limited solely to direct eligible referrals as defined in these Terms.

9. No Self-Referrals / Fraud / Abuse

The following are prohibited:

-self-referrals

-creating fake accounts

-duplicate accounts

-manipulated referrals

-fraudulent payment activity

-chargeback abuse

-artificial membership creation

-referral system gaming

-identity manipulation

-using another person’s payment method without authorization

LYRN may:

-deny compensation

-reverse earnings

-suspend participation

-terminate accounts

-permanently ban users

at its sole discretion.

10. Payout Threshold

Referral earnings are only eligible for payout once a participant reaches a minimum accrued balance of:

$25.00 USD

Balances below the threshold are not payable.

11. Claiming Payouts

Participants are responsible for claiming earned payouts according to LYRN’s designated payout process.

LYRN is not responsible for:

-locating participants

-manually issuing mailed payments

-writing physical checks

-repeated payout reminders

-payment delays caused by participant inaction

Unclaimed eligible earnings must be requested within:

90 days of becoming eligible for payout

Failure to claim within this timeframe may result in forfeiture.

12. Non-Transferability

Referral earnings:

-are non-transferable

-may not be assigned

-may not be gifted

-may not be sold

-may not be exchanged between users

-Participants may not transfer referral rights or balances to another individual or account.

13. No Membership Credits / Platform Credits

Referral earnings:

-may not be applied toward LYRN membership fees

-may not be converted into platform credits

-may not be used as discounts

-may not be redeemed for products, upgrades, services, or benefits

Referral compensation is payable only through LYRN’s approved payout process, if eligible.

14. Taxes

Participants are solely responsible for:

-tax reporting

-tax compliance

-income declarations

-applicable tax liabilities

-LYRN does not provide tax advice.

Where legally required, LYRN may request tax documentation prior to payout.

15. Program Modifications / Suspension / Termination

LYRN reserves the right to:

-modify payout amounts

-change eligibility rules

-revise thresholds

-update referral mechanics

-suspend the Program

-discontinue the Program entirely

at any time, with or without notice.

No participant has a vested right to continued referral compensation.

16. No Guarantee of Earnings

Referral outcomes depend on independent third-party participation.

LYRN makes no guarantee regarding:

-earnings

-referral success

-member retention

-payout frequency

-program availability

Individual results will vary.

17. Limitation of Liability

To the fullest extent permitted by law, LYRN and CN Venture Group LLC shall not be liable for:

-lost earnings

-missed payouts

-referral tracking issues

-technical failures

-attribution disputes

-delayed processing

-account errors

-program modifications

-terminated eligibility

-platform interruptions

Participation is voluntary and at your own risk.

18. Disputes

Any disputes relating to the Referral Program are governed by LYRN’s general Terms & Conditions.

Participants agree that referral-related disputes shall be handled under Connecticut law.

Participants waive claims for speculative, indirect, or consequential damages relating to referral participation.
